| Abstract: | Tato diplomová práce se zabývá rozdělením akciové společnosti odštěpením. Rozdělení odštěpením je jednou z forem přeměn obchodních společností. Při odštěpení rozdělovaná akciová společnost nezaniká a část jejího jmění přechází na jejího právního nástupce. Cílem této diplomové práce je uceleně vyložit problematiku odštěpení a postihnout jeho průběh od rozhodnutí o uskutečnění odštěpení, až po jeho završení zápisem do obchodního rejstříku. Podrobně se věnuje zejména projektu odštěpení. Související účetní aspekty jsou také vzaty v potaz. |
| Abstract in different language: | This thesis is an analysis of division of joint stock company by spin-off. The spin-off is a form of transformation of a trading company. Spin-off enables to divide a company using the spun-off part to found one or more new companies or to merge it into an existing one or more companies. Unlike other forms of the division of the trading company during the spin-off the divided company does not cease to exist. The aim of this thesis is to coherently expound the issue of spin-off and to describe the process from the decision to realize it, to its completion in incorporation. It describes in detail spin-off project. In the end of the thesis some basic accounting aspects related to the spin off are also taken into consideration. |
