| Abstract: | Akciová společnost je nejsložitější obchodní korporace z hlediska struktury, jakou naše právo zná. Proto je její úpravě potřeba věnovat velkou pozornost. Cílem této práce je definovat orgány akciové společnosti a charakterizovat jejich odpovědnost podle nově účinné právní úpravy. Velký prostor je dán odpovědnosti za škodu vůči společnosti, resp. povinnost k náhradě škody. Dále se práce snaží vytvořit ucelenou představu o pravidlu podnikatelského úsudku, jak ho přináší zákon o obchodních korporacích. |
| Abstract in different language: | Joint-stock company is the most complex commercial company known by our legislative in respect of its structure and that is the reason why an extraordinary attention has to be paid when it comes to amending its legislation. This work attempts to define the authorities of join-stock company according to the new legislation and describe their responsibilities according to the new effective legislative. The author would like to highlight the responsibility for harm to the society. This work also likes to create a complex picture of business judgement rule as it is described in the Law on commercial companies and cooperatives. |
