| Abstract: | Předložená diplomová práce Právní a ekonomické aspekty založení, vzniku a fungování společnosti s ručením omezeným v podmínkách ČR pojednává o procesu založení a vzniku společnosti s ručením omezeným. Hlavním cílem této práce je založení a vznik v současné době neexistující společnosti Café Charlotte s. r. o. a následné zpracování podnikatelského záměru. Teoretická část je nejdříve zaměřena na obecné charakteristiky obchodních korporací se zřetelem na společnosti s ručením omezeným. Následně jsou charakterizovány náležitosti založení a vzniku společnosti a specifikace daného typu společnosti z hlediska účetnictví a daní. V další části práce jsou získané teoretické poznatky aplikovány do praktického využití. Na což navazuje zpracování podnikatelského záměru, včetně potřebných analýz a zpracování finančního plánu. Poslední část práce je věnována možnostem financování zvoleného podnikatelského záměru. |
| Abstract in different language: | The submitted thesis Legal and economic aspects of the formation, incorporation and functioning of a limited liability company under the conditions of the Czech Republic deal with the process of a formation and incorporation of a limited liability company. The main objective of the thesis is formation and incorporation the non-existent limited liability company Café Charlotte and the elaboration of the business plan. The theoretical part is firstly focused on the general characteristics of the business corporations with a focus on the limited liability companies. Then there are described the requisites of a formation and incorporation of a company and specifics of the given type of company from the accounting and taxes point of view. In the next part of the thesis there are gained theoretical findings applied to the practical use. It is freely followed up with the elaboration of the business plan including necessary analysis and the elaboration of the financial plan. The last part of the thesis is devoted to the options of financing of the chosen business plan. |
