| Abstract: | Diplomová práce se zabýva českou úpravou dualistického systému struktury akciové společnsti, kterou bylo touto formou odjakživa zvykem spravovat. Po rekodofikaci soukromého práva celkově v roce 2014, se tato změna dotkla i norem akciového práva. Příchodem zákona č. 90/2012 Sb. o obchodích společnostech a družstvech byl implementová i monistický systém struktury akciové společnosti. Srovnání mezi těmito strukturami je také předmětem této diplomové práce. Dále se práce zabývá především řídícími orgány akciové společnosti, která se řídí dualistickým systémem struktury. Ke konci práce je úprava českého akciového práva srovnána s úpravou německou, jelikož vždy výrazně naší úpravu ovlivňovala a vycházela z ní. |
| Abstract in different language: | This diploma thesis deals with the dualistic system of the structure of a joint-stock company. Historically it was always common to manage a joint-stock company within this structure in the Czech republic. The whole civil law was changed in year 2014, which also heavily affected stock law. After the law nr. 90/2012 Sb. o obchodních společnostech a družstvech (Business corporation act) came into force, the monistic system of the structure of a joint-stock company also celebrated first place. The comparison between those two structures is also a part of this diploma thesis. Further of the thesis deals with the individual managing authorities of a joint-stock company managed through the dualistic structure. A comparison between the Czech stock law and the German stock law is discussed at the end of this diploma thesis. |
