| Abstract: | Hlavním cílem této práce je komparace právní úpravy účinné do 31.12.2013 a právní úpravy účinné od 1.1.2014. První kapitola nastiňuje stručně historii vývoje společnosti s ručením omezeným. Druhá kapitola se věnuje procesu založení a vzniku společnosti, včetně sepsání společenské smlouvy a zápisu společnosti do obchodního rejstříku. Další kapitoly postupně přibližují orgány s. r. o. a společníky s. r. o. Do práce jsou dále zahrnuty možnosti změny společenské smlouvy, přeměny s. r. o. i zrušení a likvidace společnosti. |
| Abstract in different language: | The main goal of this thesis is the comparison of legislation in effect until December 31, 2013 and the legislation which came into force on January 1, 2014. The first chapter briefly outlines the history of the Limited Liability Company. The second chapter deals with the process of founding a company, including the drafting of the social contract and writing down the company in the Commercial Register. Other chapters gradually describe authorities and partners of LLC, options for changing the social contract, transformation, dissolution and liquidation of the company. |
