| Abstract: | Tato diplomová práce se zabývá některými aktuálními tématy dobrého řízení a správy společností. Faktory, které řízení společností ovlivňují, jsou rozděleny na vnitřní a vnější. Vnitřní faktory se týkají organizační struktury akciové společnosti a vztahy mezi statutárními orgány, akcionáři a společností. Mezi důležité vnější faktory patří vliv trhu, informační povinnosti společností a povinnost oveřovat tyto informace nezávislým auditem. V závěru se tato práce zabývá kodexy corporate governance a jejich dodržováním. |
| Abstract in different language: | This thesis deals with some current issues of corporate governance. There are internal and external factors that affects corporate governance. Internal factors relate to the organizational structure of public companies and the relationships among statutory bodies, shareholders and the company. Important external factors include the market influence, the information obligation of companies and the duty to verify the information by independent audit. At the end, this thesis deals with the codes of corporate governance and compliance with these codes. |
