| Abstract: | Tato diplomová práce se zabývá akciovou společností a způsobem jejího řízení prostřednictvím tzv. dualistického systému uspořádání vnitřních orgánů. V úvodu se práce zaměřuje na akciovou společnost, její charakteristiku a porovnání s ostatními obchodními korporacemi, upravenými zákonem o obchodních korporacích. Rovněž jsou zde v základních bodech vymezeny výhody a nevýhody monistického a dualistického systému. V dalších dvou kapitolách pak práce analyzuje představenstvo a dozorčí radu jako obligatorní orgány dualistické struktury, jejich působnost, postavení členů a okolnosti spojené se vznikem a zánikem členství v těchto orgánech. Poslední kapitola je věnována právní úpravě dualistické struktury ve Spolkové republice Německo a v základních bodech srovnává tuto právní úpravu s úpravou českou. |
| Abstract in different language: | This diploma thesis deals with joint stock company and its managing through so called dualistic model of structure. At the beginning the thesis focuses on characteristic of joint stock company and comparison with other business corporations provided by Business Corporation Act, followed by specification of basic advantages and disadvantages of monistic and dualistic structure. In next two chapters the thesis analyses the management board and supervisory board as an obligatory organs of dualistic structure, their competences, position of their members and circumstances relevant for establishment and termination of membership in these organs. The last chapter is devoted to legislation of dualistic structure in Federal Republic of Germany and comparison of basic features of this legislation and Czech legislation. |
